Terms of Service

1. Acceptance of Terms

By creating an account or using ProsForge (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all users, including visitors, free-tier users, and paying subscribers.

2. Description of the Service

ProsForge is an AI-powered sales intelligence platform. It performs automated research on B2B prospects using publicly available information, synthesises that research using large language models, and generates personalised outreach drafts. The Service is hosted at prosforge.com and operates under a credit-based subscription model.

3. Accounts and Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Service. By registering, you confirm that all information you provide is accurate and that you will keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@prosforge.com if you suspect unauthorised access.

4. Subscriptions and Billing

Paid plans are billed on a recurring basis (monthly or annual) at the prices displayed at checkout. All prices are in INR and inclusive of applicable taxes where required. Billing is processed via Razorpay.

Credits are allocated at the start of each billing cycle and expire at the end of that cycle. Top-up credits do not expire and roll over indefinitely. Unused subscription credits do not carry over to the next cycle.

Refunds are not provided for unused credits or partial billing periods, except where required by applicable law. You may cancel your subscription at any time; access continues until the end of the current paid period.

5. Acceptable Use

You agree to use the Service only for lawful business outreach purposes. You must not:

• Use the Service to send unsolicited bulk email (spam) or violate anti-spam laws (CAN-SPAM, GDPR, CASL, etc.).
• Attempt to scrape, reverse-engineer, or extract data from the Service beyond what is provided through normal use.
• Use the Service to harass, threaten, or discriminate against individuals.
• Share, resell, or sublicense access to the Service without our written permission.
• Circumvent rate limits, credit checks, or other access controls.
• Use the Service to process sensitive personal data categories (health, financial account numbers, etc.) of prospects.

6. AI-Generated Content

The Service uses large language models to generate outreach drafts and research summaries. While we implement a verification gate to reduce inaccuracies, AI-generated content may still contain errors, omissions, or outdated information.

You are solely responsible for reviewing all AI-generated content before sending it to prospects. ProsForge does not guarantee the accuracy, completeness, or fitness of any generated content for any specific purpose.

7. Intellectual Property

ProsForge and its licensors own all rights in the Service, including the underlying software, design, trademarks, and platform content. Nothing in these Terms grants you any rights in the Service except for the limited right to use it as described here.

You retain all rights to data you provide (your value proposition, persona settings, etc.) and to output you generate using the Service. You grant ProsForge a limited licence to use that data to operate and improve the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, ProsForge and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or in connection with your use of the Service. Our total aggregate liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your account at any time if we believe you have violated these Terms, without prior notice. You may delete your account at any time from the Settings page. Upon termination, your right to access the Service ceases immediately.

Sections 6, 7, 9, 10, and 12 survive termination of these Terms.

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
